| A new corporation succeeding a mess up corporation?
There had been three shareholders in the old corporation which seemingly is so inextricably messed up with IRS and taxes and stuff. A new shareholder replaced one of them and the three set up a new corporation: Same business same location. It's time for the new corp. to file its tax return. The old did not file tax returns past years. The old did not even close its corp. account with IRS and state. What could be appropriate process and information for the new corp. to be able to file tax return? How is each shareholder's basis in a new corp. decided? Thank you for your help? |

You have a brand, spanking new corporation. This corporation should file based on what happened to the business since its inception, assuming that it did not BUY the previous corporation. The issues regarding the previous corporation, have nothing to do with the current corporation, but are up to the previous Board of Directors to settle. Good luck. I have a feeling that someone will need it! |
